Acceptance of Terms

By creating an account or using LightMatch Pro, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. Your use of the Service constitutes your acceptance of these terms in their entirety.

Description of Service

LightMatch Pro is a Software-as-a-Service (SaaS) platform designed to automate fixture cross-referencing for commercial lighting professionals. The Service helps you compare lighting fixtures across manufacturers, organize product data, and generate cross-reference suggestions using deterministic matching and optional AI-powered validation.

Account Registration and Eligibility

To create an account, you must be at least 18 years old and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

Subscription and Billing

LightMatch Pro is offered as a paid subscription with an initial free trial and onboarding period. After the trial period ends, you will be charged the applicable subscription fee on a recurring basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it.

You may cancel your subscription at any time through your account settings. Cancellation is effective at the end of your current billing cycle. No refunds are provided for partial months or unused portions of the subscription period.

User Content and Data

The Service distinguishes between two categories of uploaded data:

Your Private Data (“Vault Data”): Your line card assignments, project fixture schedules, cross-reference decisions, custom notes, account information, and any data specific to your business operations. You retain full ownership of your Vault Data.

Product Catalog Data:Manufacturer product specifications, catalog numbers, and technical attributes (such as lumens, wattage, CCT, voltage, and dimensions) that you upload or contribute. This information describes manufacturer products and is not proprietary to any individual user. By uploading Product Catalog Data, you grant Quarric LLC a non-exclusive license to incorporate this information into the platform’s shared product database, which may be used to provide cross-referencing services to other authorized representatives of the same manufacturer. Product Catalog Data does not include your line card composition, your project data, or any information identifying you as the contributor.

The Vault Promise

Your Vault Data is stored in a private, isolated environment and is never shared with other users, competing companies, or third parties. Only you and authorized Quarric LLC staff (for support purposes) can access your Vault Data. Specifically:

  • No other user can see which manufacturers you represent
  • No other user can see your project files or cross-reference decisions
  • No other user can see your custom notes, pricing, or client information

Product Catalog Data (manufacturer specs and product attributes) may be shared across the platform to benefit all authorized representatives of the same manufacturer, as described above. This privacy commitment is fundamental to how we operate.

Aggregated and Derived Data

Quarric LLC may compile, analyze, and use aggregated, de-identified data derived from usage of the Service to improve platform functionality, develop new features, and enhance the accuracy of cross-referencing for all users. Such aggregated data does not identify you or any individual user, and does not include your specific product data, pricing, line card composition, or project details. Automated Processing and AI

The Service uses automated processing technologies, including artificial intelligence and machine learning, to extract fixture data from uploaded documents and to assist with cross-reference matching. All outputs generated by automated processing are provided as suggestions only and do not constitute recommendations, endorsements, or guarantees of accuracy. You acknowledge that you are responsible for independently verifying all results before relying on them. Accuracy Disclaimer

Cross-reference suggestions provided by LightMatch Pro are starting points for your research, not final answers. You are responsible for independently verifying all fixture specifications, cross-references, and matches before providing them to your clients. Quarric LLC is not liable for errors, omissions, or inaccuracies in cross-reference results, regardless of how they arise.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUARRIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Quarric LLC's total liability to you for all claims arising from or relating to this Agreement shall not exceed the total fees you paid to Quarric LLC in the 12 months preceding the claim.

Intellectual Property

Quarric LLC owns all intellectual property rights in the LightMatch Pro platform, including the software, algorithms, user interface, and documentation. You own the data you upload. Your use of the Service grants you a limited, non-exclusive license to access and use the platform for the purpose of cross-referencing your own lighting fixture data.

Termination

Either you or Quarric LLC may terminate your account at any time. Upon termination, you may export your data within 30 days. After 30 days, Quarric LLC may delete all your data from its systems, except to the extent required by law.

Aggregated patterns derived from your data before termination may persist and continue to benefit the platform, as they no longer contain individually identifiable information.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding shall be exclusively conducted in the state or federal courts located in Florida.

Changes to Terms

Quarric LLC may update these Terms of Service at any time. Material changes will be communicated to you via email at least 30 days before they take effect. Your continued use of the Service after any update constitutes your acceptance of the updated terms.
